1. Service Description


Menuly is an AI-powered restaurant ordering system that enables you to place food orders through supported messaging channels (including, but not limited to, WhatsApp, WeChat, and others). Our service uses artificial intelligence to understand your requests, present menu options, process orders, and facilitate payments.

By using Menuly, you agree to these Terms of Use. If you do not agree, please discontinue use of the service.

2. Eligibility


You must be at least 13 years old to use Menuly. If you are under the age of majority in your province or territory, you must have parental or guardian consent. By using the service, you represent that you meet these requirements.

3. Acceptable Use Policy


You agree to use Menuly only for its intended purpose — ordering food from participating restaurants. You must not:

  • Attempt to manipulate, exploit, or abuse the AI assistant for purposes outside of food ordering.
  • Use the service to harass, threaten, or harm restaurant staff, other users, or Menuly personnel.
  • Interfere with or disrupt the service, including attempting to reverse-engineer or exploit system vulnerabilities.
  • Use automated scripts, bots, or other tools to interact with the service without authorization.
  • Provide false or misleading information during the ordering or payment process.

4. AI Exploitation and Abuse


Menuly's AI assistant is designed exclusively for restaurant ordering and related inquiries. Any attempt to exploit the AI outside its intended scope — including but not limited to prompt injection attacks, attempts to extract system prompts, or manipulating the AI to perform unintended actions — may result in:

  • Temporary suspension of your access to Menuly.
  • Permanent ban from the service in cases of repeated or severe abuse.

We reserve the right to determine, at our sole discretion, what constitutes exploitation or abuse.

5. AI Errors and Transaction Fairness


Our AI assistant operates on a best-effort basis. While we strive for accuracy, AI-generated responses may occasionally contain errors, including incorrect pricing, menu item availability, or order details.

  • Right to cancel: Menuly reserves the right to cancel transactions that result from clear AI errors (e.g., an item priced at $0.01 due to an AI hallucination).
  • Fairness principle: In cases where an AI error leads to a minor discrepancy (e.g., a small discount was incorrectly applied), we may choose to honor the transaction as a gesture of goodwill.
  • User exploitation of errors: If a user knowingly and repeatedly exploits AI errors to obtain goods or services at incorrect prices, Menuly reserves the right to cancel those transactions, suspend the user's account, and seek recovery of losses.
  • Refunds for AI mistakes: If an AI error causes you genuine inconvenience or financial loss, contact us for a fair resolution. We are committed to making things right.

6. No Professional Advice


Menuly's AI assistant is not designed to provide legal, medical, financial, nutritional, or any other form of professional advice. The system should not and is not intended to offer such guidance. However:

  • If a user manipulates or exploits the AI to generate such advice, the user does so at their own risk and responsibility.
  • Menuly bears no liability for any decisions made based on AI-generated content that falls outside the scope of food ordering.
  • For allergen information, always consult directly with the restaurant.

7. Data Usage Rights


By using Menuly, you acknowledge and agree that data collected through the service — including conversation patterns, ordering behavior, and aggregated usage statistics — may be used by Menuly to:

  • Develop new products, features, and services.
  • Improve existing services and AI capabilities.
  • Generate anonymized insights and analytics.

8. Conversation Storage


Important: Although messaging channels (such as WhatsApp, WeChat, and others) may provide end-to-end encryption for messages in transit, Menuly stores a copy of your conversation history in our database. Stored conversations are used for:

  • Inspection and quality assurance.
  • Detection of violations, abuse, and exploitation.
  • System improvement and AI training.
  • User experience enhancement.
  • Other legitimate business purposes not limited to those listed above.

By using the service, you acknowledge and consent to this storage practice.

9. Freedom of Expression


Menuly respects your right to express opinions, provide feedback, and voice complaints about the service, partner restaurants, or your experience. Complaints, criticism, and negative feedback will never be used as grounds for legal action against you. Only conduct that constitutes a violation of these Terms (exploitation, abuse, harassment, fraud) may result in account action.

We encourage honest feedback — it helps us improve.

10. Complaint Routing


  • Complaints about Menuly's service (AI behavior, technical issues, billing, privacy) should be directed to Menuly at support@usemenuly.com.
  • Complaints about food quality, preparation, or restaurant service are best directed to the partner restaurant. You may provide feedback through the Menuly platform, and we will make reasonable efforts to relay it.
  • Legal complaints regarding the Menuly platform or service should be directed to Menuly, not to our partner restaurants. Partners are independent businesses and are not responsible for Menuly's technology or AI behavior.

11. Third-Party AI Services


Menuly uses Microsoft Azure AI Foundry and large language models (LLMs) to power its conversational assistant. You acknowledge that:

  • AI models are developed by third parties (e.g., Microsoft, OpenAI) and may produce unexpected or imperfect results.
  • Menuly is not responsible for discriminatory, biased, or offensive content that may be generated by underlying AI models despite our best efforts to prevent such outputs. This includes but is not limited to content related to race, gender, religion, sexuality, or disability.
  • We implement safeguards and system prompts to minimize inappropriate responses, but no system is infallible.
  • If you encounter inappropriate AI behavior, please report it to support@usemenuly.com so we can investigate and improve.
  • Refunds will be provided if AI errors result in incorrect orders or charges.

12. Messaging Channel Terms


By using Menuly through any supported messaging channel, you also agree to comply with the terms of service of that platform. Menuly is not responsible for:

  • Actions taken by the messaging platform (e.g., account suspension by WhatsApp or WeChat).
  • Data collected independently by the messaging platform.
  • Service interruptions caused by the messaging platform.

13. Payment Terms


  • Orders and pricing: Prices displayed are set by partner restaurants and may change without notice. All prices are in the local currency (CAD for Canada).
  • Payment processing: Payments are processed through Stripe and/or MercadoPago. Menuly does not store your full payment card details.
  • Refunds: Refund requests should be directed to support@usemenuly.com. Refunds for AI-related errors will be processed within a reasonable timeframe.
  • Cancellation: Orders may be cancelled before the restaurant begins preparation. Once preparation has started, cancellation may not be possible, and any refund is at the restaurant's discretion.

14. Limitation of Liability


To the maximum extent permitted by law:

  • Menuly provides the service "as is" without warranties of any kind, express or implied.
  • Menuly is not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the service.
  • Menuly's total liability for any claim related to the service shall not exceed the amount you paid through Menuly in the 12 months preceding the claim.
  • Menuly is not liable for the quality, safety, or preparation of food provided by partner restaurants.

15. Governing Law


These Terms of Use are governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of British Columbia.

16. Dispute Resolution


Before initiating formal legal proceedings, you agree to first contact Menuly at support@usemenuly.com to attempt to resolve the dispute informally. We commit to responding within 15 business days. If informal resolution fails, either party may pursue legal remedies in accordance with Section 15.

17. Changes to These Terms


We may update these Terms of Use from time to time. When we make material changes:

  • We will notify you through the service (e.g., via messaging channel or web dashboard notification).
  • We will provide a summary of the key changes.
  • Your continued use of Menuly after notification constitutes acceptance of the updated terms.
  • If re-consent is required by law, we will request your explicit agreement before you can continue using the service.
